Changing the AoCS Structure: Company Limited by Guarantee (CLbG)

We are at a crossroads in our evolution and find the need, after 10 years, to adapt and move on from a limiting Trade Association model to a fit-for-purpose 'Company Limited by Guarantee' (CLbG) model. This is a key change coming up that will provide us with a stronger basis for the future.

It’s time to change to a new framework that better reflects who we are, what we do, and where we are going and we have appointed an industry-recognised expert to guide us through the initial stages and to speed up the transition curve.

Why form a Company Limited by Guarantee?

The Company Limited by Guarantee model is the type normally chosen by voluntary organisations, charities, social enterprises and community groups because:

  • It is a democratic structure; the company is led by the members who elect the Board of Directors
  • The incentive for members to become involved is not for profit but commitment to the aims of the organisation
  • Each Board Director’s liability is limited to a nominal sum - usually not more than £1 - which he or she guarantees to pay if the company has any debts on closure

Decisions we will make on May 26th include:

  • Closing the present Trade Association model
  • Selecting the new CLbG model and structure
  • Transferring our current assets/funds to the new company

New core roles ('officers') elections  New roles

We also need to elect a minimum of 3 'officers' to key roles in the new company:

  • Chair Elect - initially to deputise, then to move up to Chair in the new company; fosters connections between members to learn about and promote coaching supervision around the globe, to keep us increasingly relevant in the future
  • Company Secretary - administers company registrations and key documents with Companies House in UK
  • Treasurer - tracks spending and bank balance, reports financial status, provides basic accounts to bookkeeper

We also want to strengthen our association at the next level down by inviting volunteers to bring their vision and special skills, to: 

  • help establish the new framework and ways of working together
  • shape the future direction of our association
  • contribute to the coaching supervision community
  • help continue to grow global membership where coaches need supervisors
  • raise their individual profiles and extend their current network, for example, with international networks, lead body associations, media, training schools/academia, etc.

We will have key operational roles in the Discovery Group, Membership, communication roles, Governance, etc. (some roles can be a role-share).
