A Company Limited By Guarantee

The AoCS Structure has changed to a Company Limited by Guarantee (CLbG) framework

 

We have reached a crossroads in our evolution and have decided that, after 10+ years, to adopt a 'Company Limited by Guarantee' (CLbG) framework. This will provide us with a stronger legal framework for the future, with reduced liability for all concerned.

Why have we formed a Company Limited by Guarantee?

The Company Limited by Guarantee model is the type normally chosen by voluntary organisations, charities, social enterprises and community groups because:

  • It is a democratic structure; the company is led by the members who elect the Board of Directors
  • The incentive for members to become involved is not for profit but commitment to the aims of the organisation
  • Each member’s liability is limited to a nominal sum - not more than £1 - which he or she guarantees to pay if the company has any debts on closure (fyi we retain a contingency fund to clear any monies owed)

We also elected new 'officers' to key roles in the company:

  • Chair Elect - initially to deputise, then to move up to Chair in the new company; fosters connections between members to learn about and promote coaching supervision around the globe, to keep us increasingly relevant in the future
  • Company Secretary - administers company registrations and key documents with Companies House in UK, submits accounts
  • Treasurer - tracks spending and bank balance, reports financial status, provides basic records to bookkeeper

The unanimous decision made on May 26th was to elect:

 

  • Jenny Brown Treasurer: Jenny Brown (audit, governance and board member experience)

 

  • Board appointment: D&E Accountancy, based in UK, because of their successful record in registering new companies and experience in this specialist field. D&E will register the company, act as Company Secretary and bookkeepers. 

Lorenza and Jenny were elected with immediate effect to these roles. Both will work with the Transition Team over the coming months to put the new organisation in place and effect a smooth transition over the summer months.

Other volunteer roles

We also want to strengthen our association at the next level down by inviting volunteers to bring their vision and special skills, to: 

  • help establish ways of working together
  • shape the future direction of our association
  • contribute to the coaching supervision community
  • help continue to grow global membership where coaches need supervisors
  • raise their individual profiles and extend their current network, for example, with international networks, lead body associations, media, training schools/academia, etc.

We will have key operational roles in the Discovery Group, Membership, Communication, Governance, etc. (some roles can be a role-share).
